These Terms of Service (“Terms”) govern your access to and use of the website operated by Type 5 Technology(“Company,” “we,” “us,” or “our”) at https://www.type5tech.com (the “Site”) and any services provided through the Site or under separate service agreements. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

1. Acceptance of Terms

By accessing or using our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Type 5 Technology provides managed IT services, Microsoft 365 support, custom software development, networking solutions, and related technology consulting services to businesses in the Dallas/Fort Worth metropolitan area and beyond. Our services include but are not limited to:

Specific service terms, deliverables, pricing, and service level agreements are defined in separate service agreements between the Company and the client. These Terms govern your use of the Site; separate service agreements govern the delivery of IT services.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any part of the Site, server, or any connected database or system
  • Transmit any viruses, malware, or other harmful code through the Site
  • Use any automated system, including bots, crawlers, or scrapers, to access the Site for any purpose without our express written consent
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

4. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the design, selection, and arrangement thereof — are owned by Type 5 Technology, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution

5. Client Work and Custom Software

For clients who engage our custom software development services, intellectual property ownership of deliverables is governed by the specific service agreement between the Company and the client. Unless otherwise stated in a written agreement, the Company retains ownership of proprietary tools, frameworks, libraries, and methodologies used in the development process, while the client receives ownership of the custom application code and deliverables upon full payment.

6. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Site
  • Any conduct or content of any third party on the Site
  • Any content obtained from the Site
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SITE EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY, IF ANY, DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Liability for IT services delivered under separate service agreements is governed by the terms of those agreements, not these Terms of Service.

8. Indemnification

You agree to defend, indemnify, and hold harmless Type 5 Technology, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state or federal courts located in Dallas County, Texas. You irrevocably submit to the jurisdiction of such courts in any such suit, action, or proceeding.

10. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the sole and entire agreement between you and Type 5 Technologyregarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. Separate service agreements govern the provision of IT services.
